Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the ESPO Corporation website, services, and platforms (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

ESPO Corporation ("we," "our," or "us") reserves the right to modify these Terms at any time. Changes will be effective when posted on this page with an updated "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

Services Overview

ESPO Corporation provides professional staffing and recruitment services, including:

  • IT Staffing and Technical Recruitment
  • Engineering and CAD Services
  • IT Services and Technology Solutions
  • Recruitment Process Outsourcing (RPO)
  • Contract, Contract-to-Hire, and Direct Placement Services

These Terms apply to all users, including candidates, client companies, employees, and website visitors.

User Accounts and Registration

Account Creation

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or any other reason at our discretion. You may close your account at any time by contacting us.

User Conduct and Responsibilities

When using our Services, you agree NOT to:

  • Provide false, misleading, or fraudulent information
  • Violate any applicable laws, regulations, or third-party rights
  • Engage in any harassing, abusive, or discriminatory conduct
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated systems (bots, scrapers) without our permission
  • Interfere with the proper functioning of our Services
  • Copy, modify, or distribute our content without authorization
  • Use our Services for any illegal or unauthorized purpose

Candidate Terms

Job Applications and Submissions

By submitting your resume, application, or other materials to ESPO:

  • You represent that all information provided is accurate and truthful
  • You authorize us to verify the information you provide
  • You grant us permission to share your information with potential employers
  • You consent to background checks and employment verification as required
  • You understand that submission does not guarantee placement or employment

Candidate Representation

Once you are submitted to a client company by ESPO, you agree not to circumvent our services by applying directly to that company for the same or similar position during the representation period. ESPO retains representation rights for positions submitted for a period of 12 months unless otherwise agreed in writing.

Client Company Terms

Service Agreements

Client companies engaging our staffing services are subject to separate service agreements that govern:

  • Placement fees and payment terms
  • Candidate presentation and interview processes
  • Guarantee periods and replacement policies
  • Non-solicitation and non-circumvention provisions
  • Confidentiality and data protection requirements

Fees and Payments

All fees for staffing services are outlined in your specific service agreement. Payment terms, billing cycles, and late payment penalties are governed by those agreements. These Terms do not supersede or modify any executed service agreements.

Employee Terms

Employment Relationship

If you are employed or contracted through ESPO, your employment relationship is governed by your employment agreement, employee handbook, and applicable employment laws. These Terms supplement, but do not replace, those employment documents.

Timesheets and Payroll

ESPO employees and contractors agree to:

  • Submit accurate and timely timesheets as required
  • Report all hours worked truthfully and completely
  • Comply with client workplace policies and procedures
  • Maintain professional conduct at all times
  • Promptly report any workplace issues or concerns

Intellectual Property

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to:

  • Text, graphics, logos, images, and design
  • Software, code, and technical infrastructure
  • Trademarks, service marks, and trade names
  • Proprietary processes and methodologies

are owned by ESPO Corporation and protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written permission.

User Content

By submitting content to our Services (resumes, applications, messages, etc.), you grant ESPO a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content for the purpose of providing our Services. You retain ownership of your content and can request its removal at any time.

Confidentiality and Non-Disclosure

In the course of using our Services, you may have access to confidential information belonging to ESPO, our clients, or other users. You agree to:

  • Keep all confidential information strictly confidential
  • Use confidential information only for authorized purposes
  • Not disclose confidential information to unauthorized parties
  • Protect confidential information with appropriate security measures
  • Return or destroy confidential information upon request or termination

This obligation continues even after your use of our Services ends.

Disclaimers and Limitations of Liability

Service "As Is"

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our Services will be uninterrupted, error-free, or free from viruses or other harmful components.

No Guarantee of Employment or Placement

While we work diligently to match candidates with opportunities, we do not guarantee employment, job placement, or specific outcomes. Employment decisions are made by client companies at their sole discretion.

Limitation of Liability

To the fullest extent permitted by law, ESPO Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or opportunities, arising from your use of our Services. Our total liability for any claims shall not exceed the amount paid by you to ESPO in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ESPO Corporation, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including attorney's fees) arising from your violation of these Terms, your use of our Services, or your violation of any rights of third parties.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in DuPage County, Illinois. You waive the right to participate in class action lawsuits or class-wide arbitration.

Exceptions

Either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and ESPO Corporation regarding your use of our Services, superseding any prior agreements or understandings.
